Gather Feedback on Articles 3 & 4 of Draft Charter

Huguelet

  • ARTICLE THREE: MEMBERSHIP

    • Section 6: Membership Application and Certification

    • Section 7: Termination, Membership, or Withdrawal of Membership

      • There was discussion around the procedures when a Representative of an Organizational Member leaves their employment or affiliation with the Organizational Member:

        • Such a Representative may then apply for Individual Membership or could be designated as a Representative from their new organization (assuming that that organization is already an Organizational Member).

        • If that Representative was on the Steering Committee, the Organizational Member may designate a new Representative to assume that SC seat and complete its term without having to be elected. Put simply: Organizational Members “own” any SC seats, not their Representative. This is consistent with the rights of Organizational Members to designate Representatives as found in Article Three Section 2.

  • ARTICLE FOUR: STEERING COMMITTEE

    • Section 1: Authority and Responsibility

    • Section 2: Composition of the Steering Committee

      • There was discussion on whether to have a SC Chair & Vice-Chair --or-- to simply have two “Co-Chairs”. It was decided that for the SC the Chair & Vice Chair would remain separate roles, with the Chair having primacy over the Vice-Chair should such a situation arise.

    • Section 3: Manner of Nomination, Voting, and Terms

    • Section 4: Conditions

      • An exercise was done to assign SC seats by percentage to each of the Stakeholder Categories. These percentages will be reviewed further (along with how those percentages would “play out” with different numbers of total SC seats) in our next Working Session.
