  • ARTICLE THREE: MEMBERSHIP

    • Section 1: Classes and Eligibility

      • The two-class structure of Organizational Members and Individual Members has now been incorporated in the Draft Charter.

    • Section 2: Rights

      • An additional right for Organizational Members to have non-representative personnel participate in SHIELD Community activities was recognized.

    • Section 3: Voting

      • Most voting specifics occur later in the Charter, closer to the context in which such voting is contemplated.

    • Section 4: Responsibilities

    • Section 5: Membership Composition

      • The group discussed the linkage between the Stakeholder Categories in this section and the composition of the Steering Committee, which will be further discussed when Article Four is reviewed.

      • Since under the currently-envisioned approach each Stakeholder Category will have a limited number of representatives, it will be important that those Members from each Stakeholder Category that are elected to have seats at the Steering Committee represent the interests of all Members in that Stakeholder Category - just not those of their organization (in the case of an Organizational Member).

      • Although the Charter does not yet address the topic of the initial composition of the SHIELD Community (e.g., how does one admit Members when there are no Members yet to vote on their application), when this is being formulated in future discussions it was suggested that the terms of initial Steering Committee representatives be staggered so as to set up staggered voting in the future.

    • At the next working session, the discussion will begin on the topic of Stakeholder Categories - namely to ensure clarity of each proposed category and determine if any categories are missing or extraneous.
